Group workshop dates are fixed. Once your Compound access is switched on you have the whole content system, and you can work through it at your own pace before the workshop runs — so from that point the fee is not refundable. You can still transfer your seat to someone else in your business at any time.
Whichever applies to you, nothing in these terms limits your rights under the Australian Consumer Law.
1Parties and scope
1.1These terms govern the supply of workshop and advisory services by Vadima Pty Ltd (ABN 91 654 458 321) trading as Talk To Sev ("we", "us", "our") to the person or entity named on the invoice ("you", "the Client").
1.2These terms apply to every booking unless we have agreed different terms with you in writing and signed by us.
1.3Where your invoice or written quote specifies inclusions, dates, fees or a delivery format, those particulars apply together with these terms. If there is any inconsistency, the particulars on the invoice or quote prevail over these terms to the extent of the inconsistency.
2Definitions
2.1In these terms:
(a)"Booking" means a confirmed reservation of one or more Workshop Days, or of a seat in a Cohort Programme.
(b)"Cohort Programme" means a workshop delivered to multiple clients concurrently on fixed dates.
(c)"Compound" means our proprietary content system, module library, workbooks, frameworks, templates and associated materials made available to you through our online platform.
(d)"Day 1" means the first Workshop Day scheduled for you, or in the case of a Cohort Programme, the published commencement date of that programme.
(e)"Fee" means the total price for the Booking as set out on your invoice or accepted quote, inclusive of GST.
(f)"Onboarding" means the account provisioning, pre-work materials, preparatory instructions and setup guidance we supply following payment.
(g)"Reference Date" has the meaning given in clause 9.2.
(h)"Workshop Day" means a scheduled day of live delivery by us, whether online or in person.
3What is included
3.1A one to one workshop Booking comprises two Workshop Days delivered by us, online or in person as specified on your invoice. Workshop Days are ordinarily scheduled seven to fourteen days apart, unless we agree otherwise with you.
3.2Every Booking includes Onboarding and access to the Compound. Post-workshop support is included as specified on your invoice.
3.3Access to the Compound is granted for so long as we continue to operate it. If we discontinue the Compound we will give you not less than 90 days written notice and a reasonable means of exporting your own content.
3.4Where you have booked an intensive, filming day, cohort seat or other engagement rather than the two day workshop, your inclusions are those set out on your quote. The remainder of these terms continue to apply.
3.5Your own costs remain your responsibility, including equipment, software subscriptions, advertising spend, and any travel, accommodation or venue costs where these are not expressly stated on your invoice as included.
4Fees, GST and payment
4.1All prices are in Australian dollars. Your invoice states the GST component separately and the total payable is inclusive of GST.
4.2The Fee is payable in full on issue of the invoice unless we have agreed an instalment arrangement with you in writing before the Booking is confirmed.
4.3Instalment arrangements attract a higher total Fee than payment in full. The exact total is disclosed to you before you accept the arrangement. Instalments are collected on the dates set out in your payment schedule.
4.4If an instalment fails, we will notify you by email and you will have seven days to remedy the failure. If the amount remains outstanding after that period we may suspend your Compound access and decline to schedule any remaining Workshop Days until the account is current. We will not cancel your Booking without first contacting you. Any dishonour fee charged to us by our payment provider is passed on to you at cost.
4.5No dates are reserved and no Onboarding or Compound access is provided until cleared funds are received.
5Booking and confirmation
5.1A Booking is confirmed when we have received payment of the Fee, or the first instalment under an agreed instalment arrangement, and you have selected and we have accepted your Workshop Day dates.
5.2On confirmation, the selected dates are reserved exclusively for you and are removed from our availability. We deliver to one client per Workshop Day.
5.3You must select and confirm both Workshop Day dates within twelve months of the date of your invoice. If you have not done so by that date we will contact you to agree dates, acting reasonably and having regard to our available capacity.
6Onboarding and the Compound
6.1Onboarding and Compound access are supplied to you on confirmation of your Booking. They are delivered in full at that point, irrespective of whether you subsequently access, use or implement them.
6.2You acknowledge that the Compound comprises our accumulated intellectual property and that its value to you does not depend on your attendance at any Workshop Day.
6.3Where a full refund is payable under clause 9.3(a) or clause 9.4(a), your Compound access will be withdrawn with effect from the date the refund is processed, and you must cease all use of the Compound and destroy or return any downloaded materials. In every other circumstance your Compound access continues in accordance with clause 3.3.
7Rescheduling
7.1You may reschedule your Workshop Days on up to two occasions in total across the Booking, at no charge, by giving us notice in writing.
7.2Rescheduling is subject to our available capacity. We will offer you the earliest reasonable alternative dates but cannot guarantee any particular date.
7.3Rescheduling requests made with less than seven days notice before the affected Workshop Day remain available to you and will be accommodated where our capacity allows, but count towards the two occasions permitted under clause 7.1.
7.4Where you have exhausted the two rescheduling occasions permitted under clause 7.1, any further request is at our discretion and we may charge a rescheduling fee reflecting our reasonable costs, which we will notify to you before it is incurred.
7.5Rescheduling does not restore or reset any refund entitlement that has already reduced under clause 9. See clause 9.5.
8Transfer of your Booking
8.1You may transfer your Booking to another individual within your business at any time before Day 1, at no charge, by giving us notice in writing.
8.2The transferee must accept these terms. On transfer, the transferee assumes your rights and obligations under the Booking, including any rescheduling occasions already used.
8.3Compound access is personal to the account holder and will be reassigned to the transferee.
9Cancellation and refunds
9.1You may cancel your Booking at any time by giving us notice in writing to the address in clause 19. Cancellation takes effect on the day we receive your notice.
9.2Your refund entitlement is determined by the number of clear days between the date we receive your cancellation notice and Day 1 as scheduled at that time (the "Reference Date").
9.3Where your Booking is for one to one Workshop Days, on cancellation the following applies:
(a)Cancellation received more than 14 clear days before the Reference Date: we refund 100% of the fees you have paid, and your Compound access is withdrawn under clause 6.3.
(b)Cancellation received 8 to 14 clear days before the Reference Date: we refund 50% of the Fee and retain the balance. You retain your Compound access.
(c)Cancellation received 7 clear days or less before the Reference Date: no refund is payable and we retain the Fee. You retain your Compound access, and rescheduling remains available to you under clause 7.
(d)Cancellation received after Day 1 has been delivered: no refund is payable and we retain the Fee.
9.4Where your Booking is for a seat in a Cohort Programme, clause 9.3 does not apply and the following applies instead:
(a)Cancellation received before we have supplied your Onboarding and Compound access: we refund 100% of the fees you have paid.
(b)Cancellation received at any time after we have supplied your Onboarding and Compound access: no refund is payable and we retain the Fee, whether or not the Cohort Programme has commenced. You retain your Compound access, you may transfer your seat under clause 8, and we may at our discretion offer you a seat in a later Cohort Programme.
9.5Where your Booking has been rescheduled, your refund entitlement is fixed at the lowest band you have reached under clause 9.3 at any time. Rescheduling a Workshop Day to a later date does not restore an entitlement that has already reduced.
9.6Where you have an instalment arrangement, the refund and retained amounts under clause 9.3 or clause 9.4 are calculated by reference to the total Fee rather than the amount you have paid to date. Where the amount we are entitled to retain exceeds the amount you have paid, the shortfall remains payable and falls due on the date of cancellation.
9.7Failure to attend a scheduled Workshop Day without notice is treated as a cancellation received on the day of that Workshop Day.
9.8Refunds are processed within ten business days of the cancellation taking effect, to the account from which payment was made.
10Basis of the cancellation charges
10.1You acknowledge that the amounts we retain under clauses 9.3 and 9.4 represent a genuine pre-estimate of the loss we suffer when a confirmed Booking is cancelled, and are not a penalty.
10.2That estimate reflects that we deliver to one client per Workshop Day; that confirmed dates are reserved exclusively and withdrawn from our availability at the point of confirmation; that Workshop Days released at short notice cannot practically be resold; and that Onboarding, Compound access and preparation specific to your business have already been delivered.
10.3In each band under clause 9.3, and under clause 9.4(b), where a refund is reduced or unavailable, the service itself remains available to you, whether by rescheduling under clause 7, by transferring your Booking or your seat under clause 8, or by your continuing use of the Compound.
10.4In relation to clause 9.4(b) you further acknowledge that the Compound is supplied to you in full at Onboarding; that it is a substantial part of what you are paying for and carries value independently of the Cohort Programme itself; that you are able to use and apply it in your business at your own pace from the moment access is granted, including in the period before the Cohort Programme commences; and that once access has been granted it cannot practically be recovered. Clause 6.2 applies.
11Cancellation or rescheduling by us
11.1If we need to reschedule a Workshop Day we will give you as much notice as reasonably practicable and offer you alternative dates.
11.2If we cancel your Booking, or we are unable to offer you alternative dates that are reasonable in the circumstances, you may elect to receive a full refund of the fees you have paid for any part of the Booking we have not delivered. Your Compound access is withdrawn on payment of that refund.
11.3Nothing in this clause limits any remedy available to you under the Australian Consumer Law.
12Your responsibilities
12.1To obtain the intended benefit of the workshop you must attend with a charged device, the required software installed, the pre-work completed, and a willingness to participate on camera.
12.2We are not responsible for any reduction in the value you obtain from a Workshop Day that results from incomplete pre-work, unsuitable equipment, or unreliable internet connection on your side.
13Recording
13.1We record Workshop Days so that you may review them and so that we may improve our delivery. We will tell you when recording begins and will not record if you ask us not to.
13.2We will not publish or use any recording of your Workshop Day, your name, your likeness or your results in our marketing without your prior written consent. Declining consent does not affect anything you receive under your Booking.
14Intellectual property
14.1All content you create during or after the workshop belongs to you. We claim no interest in it.
14.2The Compound, and all modules, frameworks, templates, workbooks and methodologies we supply, remain our property. We grant you a non-exclusive, non-transferable licence to use them within your own business for so long as your access continues.
14.3You must not resell, license, publish, or deliver our materials as your own programme or product, and must not make them available to any person outside your business.
14.4The licence in clause 14.2 ends immediately on withdrawal of your Compound access under clause 6.3 or clause 11.2.
15Confidentiality
15.1Each party will keep confidential the non-public information of the other party disclosed in connection with the Booking, and will use it only for the purposes of the engagement.
15.2This clause survives completion or termination of the engagement.
16What we do not promise
16.1We teach a skill and a process. We do not promise any particular number of followers, enquiries, leads or sales, as those outcomes depend on your market, your offer and the extent to which you apply what you learn.
16.2Any figures we refer to, whether our own or those of other clients, are examples of results that have been achieved and are not a forecast or representation of results you will achieve.
16.3Nothing in this clause limits your rights under clause 17.
17Australian Consumer Law
17.1Our services come with guarantees under the Australian Consumer Law that cannot be excluded, restricted or modified. These include guarantees that our services will be supplied with due care and skill, will be reasonably fit for any purpose you have made known to us, and will be supplied within a reasonable time.
17.2If we fail to comply with a consumer guarantee you are entitled to a remedy. For a major failure you may cancel the service and obtain a refund for the unused portion, or seek compensation for the reduction in value. For a failure that is not major you are entitled to have the problem remedied within a reasonable time, and if that is not done, to cancel and obtain a refund.
17.3Nothing in these terms, and in particular nothing in clause 9, operates to exclude, restrict or modify those rights. Clause 9 applies where you cancel for reasons other than a failure by us to comply with a consumer guarantee.
17.4If you believe we have not met our obligations, please contact us before taking any other step. We would rather remedy a problem than dispute it.
18Liability
18.1We are liable for loss we actually cause. To the extent permitted by law, we are not liable for indirect or consequential loss, including loss of profits, loss of opportunity or business interruption.
18.2To the extent permitted by law, our total aggregate liability arising out of or in connection with a Booking is limited to the Fee paid by you for that Booking.
18.3Nothing in this clause limits liability that cannot be limited at law, including liability under the consumer guarantees referred to in clause 17, or liability for fraud.
19Notices
19.1Notices under these terms, including cancellation notices under clause 9.1, must be given in writing by email to sev@sevspics.com and are taken to be received on the day of transmission, or on the next business day if sent after 5.00pm Australian Western Standard Time.
19.2Correspondence by instant message or social media does not constitute notice for the purposes of these terms.
20Privacy
20.1We collect the information we need to deliver your Booking and operate our business, including your name, contact details, business details and payment records. We do not sell your information.
20.2Card and bank details are handled by our payment providers. We do not see or store complete card numbers.
20.3You may request access to, or correction of, the personal information we hold about you by contacting us at the address in clause 19.
21Acceptance and variation
21.1You accept these terms by confirming your acceptance at the point of booking or payment. We record the date, time and version of the terms accepted.
21.2We may vary these terms from time to time. The version that applies to your Booking is the version published at the time your Booking was confirmed. We retain superseded versions and will provide a copy on request.
21.3A variation to these terms does not apply to a Booking already confirmed unless you agree to it in writing.
22Disputes and governing law
22.1If a dispute arises, the parties will first attempt to resolve it by discussion in good faith within fourteen days of one party notifying the other in writing.
22.2These terms are governed by the laws of Western Australia and each party submits to the non-exclusive jurisdiction of the courts of that State.
